Vendors are independent Contractors: As an independent contractor, you are required to provide your Social Security Number (SSN) or Employer Identification Number (EIN) to Timeless Relics & What-Knots Antique Mall for the purpose of tax reporting. This information is necessary for issuing an IRS Form 1099-MISC (or any applicable IRS form) at the end of each year if your total earnings exceed the IRS reporting threshold. • Your SSN/EIN will be used solely for the purpose of complying with IRS regulations and will be kept confidential in accordance with applicable privacy laws. • By signing this agreement, you will consent to the collection and use of your Social Security Number (or EIN) for tax reporting purposes. 2. Rental Fee: I agree to pay the monthly booth rental fee as outlined in my lease agreement. 3. Commission: A commission will be made on any sales made within the antique mall through the central checkout system (currently 10%). 4. Sales Tax: Timeless Relics & What-Knots is responsible for collecting and remitting any applicable sales tax. 5. Credit Card Transactions: Most customers pay with a major credit card. All vendors are responsible for the credit card fees of 3% per transaction. 6. Sales & Promotions: The store will run store-wide sales periodically. These include, but are not limited to, anniversary sales, and various holidays. These sales will be limited on days. Each vendor may choose to participate or decline to participate. Moreover, vendors may choose the discount rate to offer. Discounts may be applied to an individual type of item or the entire booth. However, there will be NO multiple category discounts at the same time. (i.e. 10% off Furniture, and 15% off Magazines, etc.). Timeless Relics & What-Knots will provide basic standardized booth signage. Vendors may choose to conduct a sale on their own, however, they may not last more than 10 days, and only 1 per month. (Discounting too often devalues the store and the vendors around you). 7. Vendor Responsibilities: I will maintain & merchandise my booth in an orderly, safe, and professional manner. Additionally, to ensure that all items for sale are properly priced, and the tag is legible, in accordance with the standard tags. This includes vendor number, item description, item number (if applicable), and prices. 8. Insurance: I understand that I am responsible for securing my own insurance for my merchandise. 9. No Tolerance: Our organization strives to treat everyone with respect and dignity. We also require this from our all of our vendors as well. This includes, but is not limited to patrons, other vendors, the store, or personal property of any of the aforementioned. Our No Tolerance applies to intentionally damaging property/inventory, theft, verbal or physical abuse, aggressive behavior, and/or disrespect to anyone based on color, creed, nationality, sexual orientation, or disability. Timeless Relics & What-Knots reserves the right to require a vendor to vacate their booth and agreement, without notice, if any of the above is violated. Additionally, the vendor will forfeit any rent paid for the space and will mail their final check within 14 business days to the address on file. 10. Notice to Vacate: When a vendor is ready to vacate the store, the vendor must provide Timeless Relics & What-Knots with one-month notice. Notices must be received by the 1st of the month, and vacancy must occur on or before the last day of the month. 11. Vendor Non-Performance: We strive to have every vendor be successful. However, this business is a direct reflection of what you, as the vendor, put into your business. If a vendor does not make enough sales to cover rent, commissions, and Credit card fees for 3 consecutive months in a row, or 3 times in a 6-month period, Timeless Relics & What-Knots reserves the right to ask the vendor to vacate the store based on non-performance. 12. Abandoned Inventory: Timeless Relics & What-Knots will not hold abandoned inventory past the move out date, unless otherwise agreed upon by the vendor and Timeless Relics & What-Knots, in advance. This agreement will not exceed 5 business days. All abandoned inventory will be considered forfeit to Timeless Relics & What-Knots. 13. Policies: I agree to abide by all policies, rules, and regulations set forth by Timeless Relics & What-Knots Antique Mall. 14. Lease Term: I agree to the lease term and understand that any early termination of the lease may incur penalties as stated in the lease agreement. I hereby acknowledge that I have read and agree to the above terms. No Employer Control: The vendor retains full control over the manners and means by which they operate their booth and conduct their business within the antique mall. Timeless Relics and What-Knots Antique Mall is not responsible for the management of the vendor's sales, operations, or inventory. 4. No Worker’s Compensation or Unemployment: The vendor is not entitled to worker's compensation, unemployment insurance, or any other benefits that are typically available to employees. The vendor agrees to indemnify and hold Timeless Relics and What-Knots Antique Mall harmless from any claims related to such matters. 5. IRS Form 1099: At the end of each year, Timeless Relics and What-Knots Antique Mall will issue Form 1099-MISC (or applicable IRS form) to the vendor if the vendor's earnings exceed the IRS threshold. This form will report on the total amount earned by the vendor for the year.
